The absence of a report is not an oversight in our reading: the LLC Act has an article for annual registration fees and none for annual reports, and the corporate report section by its terms binds only corporations. Miss the fee and a $25 penalty follows; leave it unpaid to the last day of the third month after the due date and the company's existence is cancelled automatically.

Quoting $25 to incorporate in Virginia is wrong: the charter fee is mandatory and additional, at $50 for each 25,000 authorised shares or part of them up to a million shares, then a flat $2,500 above that. So the minimum is $75 and the practical maximum $2,525 — and the cliff is sharp, because authorising a million shares costs $2,000 in charter fee while authorising one more costs $2,500. It is charged on authorised shares, not issued ones, and increasing the authorisation later triggers a top-up for the difference. Unlike an LLC a corporation does file an annual report, but it is free; the money is the annual registration fee, $50 up to five thousand authorised shares then $15 for each further five thousand, capped at $850.

The due date is the entity's own anniversary month rather than a common calendar date, which makes it easy to miss. An LLC pays $50 whatever its size; a corporation pays $50 up to five thousand authorised shares and $15 for each further five thousand, capped at $850 — so the share count you chose at formation follows you every year. Penalties differ too: a flat $25 for an LLC, and ten per cent or $10, whichever is greater, for a corporation. The deadline after that is what matters most. An LLC is cancelled automatically if the fee is unpaid by the last day of the third month after the due date; a corporation is terminated at the fourth. You also cannot pay early — the Commission assesses about two months ahead and will not take money before it does.

No state fee, because the whole licence-tax chapter of the Code sits inside the Local Taxes subtitle and the obligation arises only from a local ordinance. Two things about the threshold are routinely got wrong. It exempts you from the licence TAX, not the licence FEE — the statute expressly excepts the fee — so a locality can charge $50 to a business turning over ten thousand dollars. And the population that sets the threshold is the locality's, not the business's: under $100,000 of gross receipts in a locality above fifty thousand people, or $50,000 in one between twenty-five and fifty thousand, no tax is due, while a locality under twenty-five thousand people has no statutory floor at all. Above the threshold the rate caps run 16 cents per hundred dollars for contracting, 20 for retail, 36 for services and repair, and 58 for professional and financial work. A separate licence is needed for each definite place of business. Localities that charged more on 1 January 1978 may keep those higher rates.

No fee, and the finding is built positively rather than from silence: the statute that creates the certificate imposes no fee, and a fee cannot be charged without statutory authority; the official registration form has no fee line, no remittance box and no payment instruction anywhere; and the department's registration checklist lists what you must supply and never lists a payment. New businesses must now register online. A separate certificate is required for each place of business, it cannot be assigned, and it must be displayed conspicuously where it was issued for. Trading as a dealer without one is a class 2 misdemeanour and each day is a separate offence. Registering is a tax act, not a licence — it does nothing for the local BPOL requirement.

One flat $40 for the whole state, which is unusual and cheap — and the fee's authority is the Appropriation Act rather than the food statute, so anyone looking for it in Title 35.1 or in the food regulation will not find it there. Ten localities adopted their own food ordinances before 2022 and permit independently — Alexandria, Arlington, Danville, Fairfax County, Hampton, Hopewell, Norfolk, Petersburg, Portsmouth and Roanoke — and some add real money on top: Fairfax charges $100 for a preliminary inspection and $80 for a change of ownership. Retail food stores and manufacturers are a different regime entirely, run by the agriculture department, where the permit is free and the annual inspection is $40.

At least one employee with supervisory and management authority must hold it, but the rule carves out establishments serving only food that needs no temperature control, and those that merely reheat or cold-hold commercially processed food, provided they do not cool it. The five-year validity people quote is the certifying programme's rule, not Virginia's — the regulation sets no term. Virginia requires no food handler card statewide either, and the department publishes a table of the twelve localities that do impose one, all of them in Hampton Roads and the Peninsula.
