Three bands, and the middle one is the surprise. Under $3,000 of gross sales in a jurisdiction you need nothing. Between $3,000 and $100,000 you need a minimal activity licence at $15. At $100,000 or more you need a standard business licence, also $15, and you start filing business tax returns with a minimum tax of $22 a location, or $44 inside a city because state and city tax are both due. The Department itself issues none of these — the county clerk or the city official does, and if the city has enacted the tax you pay both, so an in-city business buys the same licence twice. The standard licence renews itself at no cost once you file and pay; you may not trade until it is obtained and posted. Out-of-state businesses with nexus register and pay the tax but need no local licence and pay no $15, except out-of-state contractors.
Charged per member, so a single-member LLC pays the $300 minimum and so does one with six members; the cap binds at sixty. That $300 floor is the highest LLC formation minimum of any state covered here, and it repeats: the annual report uses the same scale, so a Tennessee LLC pays at least $300 every year for the life of the company against $20 for a corporation. An LLC whose articles prohibit it from doing business in Tennessee pays $300 flat whatever its membership. Paying by card adds a convenience fee that a mailed cheque avoids.
$100 flat with no per-share or per-member scaling, and the annual report is $20. Set against the LLC's $300 minimum at formation and $300 minimum every year afterwards, incorporating is dramatically cheaper in Tennessee than it is in most states relative to an LLC — a difference worth knowing before choosing a structure here.
The fifteen-fold gap between a corporation's $20 and an LLC's $300 minimum is the thing to plan around. Changing the registered agent or office at the same time adds $20 to either. Tennessee charges no monetary late fee at all, which sounds forgiving and is not — the consequence is administrative dissolution, after which reinstatement costs $70 plus every delinquent report, and a certificate of tax clearance from the Department of Revenue is required before you can reinstate, terminate or withdraw. Delinquent reports are accepted for four months after the due date.
No fee — the Department says there is no charge for registering a sales and use tax account, in those words. A separate certificate is issued for each business location and must be displayed there. The registration thresholds are low: more than $400 a month in sales of goods, or more than $100 a month in taxable services, and $100,000 in Tennessee sales for a remote seller. One exception carries a real fee: a flea market dealer pays $45 a year, or $15 a quarter or $5 a month, and trading unregistered costs $10 per booth per day. Note that registering for sales tax is not registering for business tax and is not the business licence.
One statewide schedule, banded by seats: $210 up to fifty seats and $360 above, with an auxiliary establishment at $100, a temporary at $30, a school at $80 and a farmers market food unit at $300. Five counties permit, invoice and inspect for themselves rather than the state — Davidson, Hamilton, Knox, Madison and Shelby — and Shelby applies the same seat bands with a $100 bar fee of its own on top. The fee rule was rewritten with effect from 14 June 2026: it previously said only that fees were as provided by statute, and now prints the amounts, so any source citing rule 1200-23-1-.04 for a Tennessee food fee is out of date. The new chapter carries no late-penalty provision at all.
No state fee, and — unusually — no requirement either. Tennessee is one of the few states where certification is optional: the rule gives the person in charge three alternative ways to demonstrate knowledge, of which being a certified food protection manager is only one, the others being having no priority violations at the current inspection or simply answering the inspector's questions correctly. Certification, if you want it, comes from an accredited programme at that programme's price. Tennessee requires no food handler card either — the phrase does not appear anywhere in the food service rules. Local jurisdictions, including the five that permit for themselves, may impose more.
