Detroit has no single flat business licence fee — it licenses roughly thirty specific categories, each priced and termed on its own schedule, the way the food, sign, contractor and auto repair records below each show for their own trade.
$50 — one of the cheapest formation fees anywhere, and a professional LLC is the same. Veterans get it free: where a majority of the initial membership interests will be held by one or more veterans the fee is waived by statute. The recurring cost is the annual statement at $25, due 15 February, and an LLC formed after 30 September owes nothing on the following February. Paper filings are no longer accepted for the annual statement. Let it lapse and dissolution follows after a two-year grace period, with restoration costing $50 plus $25 for every missing year.
The $60 is a floor built from two separate lines rather than a printed price: a $10 non-refundable fee plus an organization fee that starts at $50 for up to sixty thousand authorised shares. Above that it climbs hard — $100 to a million shares, $300 to five million, $500 to ten million, then a further $1,000 for each additional ten million or part of it. A large authorisation is therefore expensive in Michigan in a way it is not in most states. Expediting is additive: $50 for twenty-four hours up to $1,000 for one hour. The annual report is $25, due 15 May, with penalties escalating from $10 in late May to $50 from September.
Two different deadlines for two entity types, which is the most common Michigan filing error: an LLC files by 15 February and a corporation by 15 May. A professional LLC pays three times as much, $75, and adds a flat $50 penalty the day after the deadline. A corporation's penalty escalates by month instead, $10 in late May rising to $50 from September, so the worst case is $75. Filing is online only. The consequence of ignoring it is dissolution or revocation after two years, one year for a foreign corporation, and restoration costs $50 plus every missed year.
No fee, because Michigan issues no general business licence — the state says not every business needs a state licence and directs you to search its licence list instead, and the Corporations Division states plainly that it issues no licences at all. The state's own eleven-step start-up sequence has no general licence step in it. That is not the same as needing nothing locally: some Michigan cities do impose one, Detroit among them, where a separate city business licence follows the food service licence. The state itself tells filers to check with their county and local government.
No fee, and the Treasury answers the question in those words on its own FAQ. Unusually, the licence is nonetheless dated: it is issued yearly and valid for the calendar year printed on it. One form, the 518, covers sales tax, use tax, withholding, corporate income tax and unemployment insurance together; registering online is authenticated within about fifteen minutes while the paper route takes four to six weeks. Two exclusions worth knowing: wholesalers are not issued sales tax licences at all, using exemption certificates instead, and contractors do not need one because they are treated as the final consumer of materials affixed to real property.
The agriculture department does not license restaurants and says so: food service establishments, including restaurants, cafes, bars, catering kitchens, food trucks and temporary units, are licensed by local health departments. Its own application form tells you to contact the local health department for the fee. The state's part is a small embedded component the local schedule collects — $30 on a fixed or mobile licence, $44 on a temporary one — and the rest is the county's. The counties do not even measure the same thing: Detroit, Oakland and Macomb band by seats while Washtenaw bands by floor area, so a sixty-seat restaurant pays $398 in Oakland and $898 in Washtenaw. Every licence expires on 30 April. The state steps back in only where a business also serves unpackaged food with customer seating inside a retail store, which becomes an extended retail food establishment licensed by the state at $471.
This is the state licence that does exist, and it is not the restaurant one. A retail food establishment, a limited wholesale processor or a food warehouse pays $186; an extended retail food establishment — a shop serving unpackaged food with seating — pays $471; a mobile food establishment or its commissary pays $192; a temporary establishment $73; a transitory food unit $159 plus a first-year $197 plan review and a $90 inspection. Widely republished figures of $135 are out of date. One oddity is recorded rather than explained: every published amount runs exactly $3 above the figure in the statute, and while the law permits a convenience fee, no source confirms that is what the $3 is. Licences do not transfer to a new owner or a new location.
No state fee — Michigan neither teaches the course nor issues the certificate, and the cost and length vary by provider. What the law does require is that a food service establishment, an extended retail food establishment or a food service operation inside a grocery employs at least one managerial food safety manager certified under an accredited programme. The rule adds that the certified manager must be a full-time employee but need not be present during all opening hours. Temporary establishments, vending locations and low-risk establishments are exempt. Ninety days are allowed to replace a departed manager or after a change of ownership, but a newly licensed establishment needs one from its first day. There is no statewide food handler card; local health departments may register individuals, and none of the six largest jurisdictions checked does.
