Arizona has no sales tax; it taxes the privilege of doing business, and the liability sits on the seller rather than the buyer. This licence is that tax's registration, which is why it is so often mistaken for a general business licence — but it is required only of people in taxable classifications, and it certifies nothing about fitness to trade. The state's own $12 is charged per location, and the department collects the city's fee on the same application and holds it in trust. So a for-profit corporation pays $60, a nonprofit $40 and a foreign corporation $175, and every published figure reconciles exactly. LLCs have no equivalent surcharge, which is the entire reason a corporation costs ten dollars more here. A certificate of disclosure must accompany the articles but carries no fee. Unlike an LLC, a corporation then files an annual report every year.

Only corporations file this — the Commission says so in terms, and the statute bears it out. The due date is not a common calendar day but a date the Commission assigns inside the anniversary month, so it differs for every corporation, and a six-month extension may be requested but only on or before that date. The penalty is unusually harsh: twenty per cent of the fee per month or part of a month, which is nine dollars a month on a $45 report and compounds until the corporation is administratively dissolved. Nonprofits are not penalised at all. Reinstatement is possible for six years at $100.

$50 to form, and then nothing — Arizona is one of very few states where an LLC files no annual report at all and pays no franchise tax. That is not an inference from a missing page: the phrase annual report appears exactly once in the whole of title 29 and it is in the limited liability partnership article, while the LLC Act's own fee schedule has no such line. Note that Arizona LLPs do file one, so the exemption is not general to unincorporated entities. Accelerated service is available on top of the $85 expedited fee, at $100 for next day up to $400 for two hours. Every Commission fee is non-refundable.

No government fee — the Commission charges nothing to publish and nothing to file the optional affidavit; what you pay is whatever the newspaper charges, and no official source sets that. In Maricopa and Pima counties you pay nothing at all, because the Commission publishes the notice itself on its public notice database, those being the only two Arizona counties above the eight hundred thousand population threshold the statute uses. The trap is that the test differs by entity type: for an LLC it is the statutory agent's street address, and for a corporation it is the corporation's own known place of business. An LLC formed by an owner in a rural county but using a Phoenix agent is exempt; a corporation in the same position is not. Publication must happen within sixty days of approval and not before it.
