No fee at all for a domestic LLC, corporation, nonprofit, cooperative or limited partnership, on any filing channel — but it is compulsory, and free does not mean optional. Miss it and a corporation is administratively dissolved and an LLC administratively terminated at the end of that calendar year, with a foreign entity's authority revoked. The saving grace is that reinstatement is retroactive: it restores the entity as of the dissolution date and validates contracts entered in the meantime. An entity inactive more than six years cannot be reinstated online at all. Foreign corporations and limited liability partnerships do pay, at $115 and $135 by post.

No fee, because Minnesota issues no general business licence — and its own start-up guide makes the point by where it uses the phrase. The guide describes state licensure entirely in terms of specific activities, trades and professions, and reserves the words general business licence for the local tier, noting that some local governments require one involving no more than registration and payment of a fee. The state's directory of licences is organised by regulated activity with no omnibus entry. No fee, and the evidence is positive rather than absent: the statute sets out exhaustively what an application must contain and imposes no fee, and the section governing issuance conditions it only on complying with that application section. The permit runs until cancelled or revoked rather than expiring. Register before making any taxable sale. The commissioner may require a security bond where there is a delinquency risk, and the consequences of trading on a cancelled permit are unusually sharp — a felony and a hundred dollars a day in civil fines.

Get the agency right: child care licensing moved out of the human services department into the new Department of Children, Youth, and Families, and the governing chapter changed with it, so guidance naming DHS or the old chapter is out of date. A family or group family child care home pays the state nothing at all — counties license those, and a county may charge at most $50 for a year or $100 for two, and may even deduct it from assistance payments. Non-payment is not an enforcement matter but an expiry one: the licence simply lapses on 31 December and the provider must reapply and pay the $500 again. A centre that serves food is also a low-risk food establishment and will hold a food licence too.
