Articles of Organization (LLC)
Filing online saves $15 across every entity type South Dakota offers — the paper price is simply the online fee plus a flat $15 paper-filing surcharge.
Articles of Incorporation
Identical to the LLC filing fee — South Dakota charges the same $150 online / $165 paper rate to incorporate as to organize an LLC.
Annual Report
A 2025 law, House Bill 1024, raised this fee by $5 effective July 1, 2025, explicitly exempting registered nonprofit organizations from the increase. A delinquency fee applies after the report goes unfiled for two months past its due date, and the state's current online fee schedule states $55 while its own paper form states $50.
General Business License — State of South Dakota position
No fee applies. South Dakota's Department of Revenue, in its license-requirements tax fact, frames statewide licensing around specific, activity-tied tax licenses such as the sales and contractor's excise tax license, and names no blanket business license; the licenses South Dakota issues attach to specific activities rather than to business itself.
