About each permit
Certificate of Formation (LLC)
A hundred and ten dollars to file, regardless of company size — Delaware's LLC filing fee does not scale with anything.
Certificate of Incorporation
The $109 figure is a floor tied to a modest authorized-share structure — a corporation authorizing many more shares pays more to incorporate.
LLC Annual Tax
A flat $300 every June 1st, with no annual report to file alongside it — an LLC's yearly state obligation is a single number, not a calculation. This is a tax paid to keep the LLC in good standing, not a fee for any additional service.
Annual Report and Franchise Tax
A corporation pays two things every March 1st: a $50 annual report filing fee (only $25 if the corporation is a qualifying exempt entity) and a franchise tax computed the more favorable of two ways — a minimum of $175 under the authorized-shares method, or $400 under the assumed-par-value-capital method — with either method's tax capped at $200,000. Missing the deadline adds a flat $200 penalty plus 1.5% monthly interest on any unpaid balance.
