About each permit

Articles of Incorporation

A business that chooses to incorporate has one or more incorporators deliver its articles of incorporation to the Division of Corporations and Commercial Code for filing, and any incorporator who is a natural person must be at least eighteen. The filing fee is $59, the same as an LLC's certificate of organization, and a nonprofit corporation's articles cost the same $59; an optional expedited processing fee adds $75 per filing, and every processing fee is nonrefundable. The corporation then renews every year for $18, a figure that includes a $5 surcharge for the state's single sign-on portal, and a late renewal adds $10 — see the annual renewal record.

Certificate of Organization (LLC)

Per the Division of Corporations' current fee schedule, a certificate of organization for a limited liability company is $59, the same figure whether the entity is domestic or registering in from out of state. A business corporation costs the identical $59 to form, and a renewal is due every year.

General Business License — Utah State Position (Entity Registration)

There is no state fee for a general business license listed here. The Division of Corporations' own 'Do I need to register?' guidance describes state-level filing as entity registration (articles of incorporation, a certificate of organization, or an application for authority) and says that if another unit of government requires you to register with the division, you need to be registered; it describes no general state license to operate. A city or county license is what functions as a general business license for most Utah businesses.

Annual Renewal

Eighteen dollars a year, the same figure for an LLC or a corporation, due in the entity's own anniversary month rather than a single date shared statewide. Missing it is not immediately fatal: the statute gives sixty days from the division's notice to cure before administrative dissolution follows, and reinstating after dissolution costs $54 for an LLC or a corporation. A dissolved entity's name, and any assumed names filed under it, cannot be reused by anyone else for two years afterward.
