About each permit
Articles of Incorporation
Under section 53-2-1(A)(1) NMSA 1978 the Secretary of State charges one dollar for each thousand authorised shares for filing articles of incorporation, with a $100 minimum (which covers up to 100,000 shares) and a $1,000 maximum. Unlike an LLC, a corporation owes a recurring filing afterward — see the biennial report record.
General Business License — State of New Mexico position
No fee applies. The Taxation and Revenue Department's 'Who must register a business?' page states that 'Anyone who engages in business in New Mexico must register with the Taxation and Revenue Department' for a New Mexico Business Tax Identification Number, that 'There is no fee to register or obtain a Business Tax Identification Number', and that a corporation also must register with the Secretary of State; the page names no general state business license. On top of that registration, a business needs entity formation with the Secretary of State if it forms an LLC or corporation, and whichever industry-specific state license applies.
Articles of Organization (LLC)
Under section 53-19-63 NMSA 1978 the Secretary of State charges $50 for filing original articles of organization and issuing a certificate of organization. That fee section lists no annual or biennial report fee for an LLC, and section 53-19-66.1 allows administrative revocation when an LLC fails for thirty days to appoint and maintain a registered agent, or to file a statement after changing its registered office or agent. The Secretary of State's business services page states that all business filings are made online through its enterprise filing portal. A corporation is priced and treated differently; see the corporate registration and biennial report records.
Corporate Biennial Report
Twenty-five dollars per report under section 53-2-1(A)(16) NMSA 1978 and 12.3.2.12 NMAC. Section 53-5-2, as amended effective 1 July 2018, requires a first report within thirty days after the certificate of incorporation or authority is issued, and a report biennially thereafter on or before the fifteenth day of the fourth month after the end of the corporation's taxable year — 15 April for a calendar-year filer. (12.3.2.12 NMAC still states the third month; the statute's 2018 amendment moved the date to the fourth.) Section 53-5-7 imposes a $200 civil penalty, in addition to the filing fee, on a report filed late, and a supplemental report is due within thirty days of a change in registered office or agent, directors or officers, or principal place of business.
