About each permit
Certificate of Incorporation
Priced by capital rather than flat: a tenth of a per cent of authorised shares, with no-par shares valued at $50 each purely for this calculation, and $50 as the floor for a small filing. A nonprofit corporation skips that formula entirely at a flat $25. What happens after formation is the more surprising part — see the annual filing record.
Articles of Organization (LLC)
Articles of Organization are filed with the Oklahoma Secretary of State by a business that chooses to organise as a limited liability company, for a flat $100. Filings can be submitted online, by mail, by fax or in person; a document presented in person can be dropped off at no additional fee or, for an extra $50 per document, given same-day service, and an in-person filing received after 4:30 pm Central time is processed the following business day. Once formed, the LLC files a $25 annual certificate with the Secretary of State every year on the anniversary date of its registration, and one that is more than sixty days late ceases to be in good standing.
Annual Certificate (LLC) / No Recurring Filing (domestic corporation)
An LLC files a $25 annual certificate every year on its own formation anniversary, and falls out of good standing if it is more than sixty days late. A corporation is a different story entirely, and one worth getting right because the old assumption is now wrong: Oklahoma repealed its corporate franchise tax outright, with 2023 the last year a return was required. What survives afterward is explicitly foreign-only — the Secretary of State's annual certificate line item is marked for foreign profit corporations alone, at $10 plus a share of any increase in invested capital, and the Tax Commission's $100 annual registered agent fee is likewise foreign-only, due 1 July and risking forfeiture if unpaid by 1 September. On the evidence of every fee schedule that touches this, a domestic Oklahoma corporation owes nothing recurring to either agency at all.
General Business License — Oklahoma Department of Commerce Position
The Oklahoma Department of Commerce's own How to Start a Business page states that 'In Oklahoma, there is no general license required to start or own a business,' adding that specific business types may still need a license, permit or registration before opening; under that statement there is no state general business license fee. A business may still need an industry-specific state license, an Oklahoma Tax Commission sales tax permit if it sells taxable goods, and whatever a city or county separately requires.
